The Team The Equity Capital Markets London team is highly regarded for its expertise in managing a growing number of high-profile fundraising matters and IPOs, both within the UK and across the EMEA region. The team regularly advises issuers and banking clients on premium offerings, de-SPAC transactions, and large-scale share disposals.
Known for their comprehensive approach, the ECM team supports clients on complex transactions, including cross-border deals, high-yield offerings, leveraged finance, and regulatory matters. The practice is bolstered by its integrated U.S. law capability and extensive EMEA network, enabling seamless management of international transactions.
The Role The successful candidate will work with a diverse portfolio of ECM matters, including:
- Advising on debt and equity offerings under Rule 144A, Regulation S, and SEC-registered offerings.
- Supporting issuers and banking clients on acquisitions, disposals, joint ventures, public takeovers, and strategic investments.
- Managing listing rule transactions and corporate reorganisations with a cross-border element.
Responsibilities will include:
- Providing strategic and transactional advice on ECM and corporate finance matters.
- Drafting, reviewing, and amending legal documentation.
- Advising on risk management, corporate governance, and broader regulatory concerns.
- Coordinating transaction management and team collaboration.
- Assisting with business development initiatives and client relationship management.
Key Requirements The ideal candidate will have
3-5 PQE in ECM or corporate finance and should demonstrate:
- Strong technical knowledge of ECM transactions and public company law.
- Proven experience advising on UK and international ECM deals, including IPOs and share offerings.
- Excellent communication and client relationship skills.
- The ability to manage multiple transactions and deadlines efficiently.
- A collaborative approach to teamwork and project management.
