Our client is a leading investment and funds management firm who specialise in real estate and private equity investments and  they pride themselves on strong governance and operational excellence. We are seeking a highly organised and experienced Board Administrator to support their General Counsel & Company Secretariat function.

About the Role
As the Board Administrator, you will play a critical role in ensuring the smooth operation of the Board and Committee meetings while also providing support to the GC and Company Secretary along with the Board members. CYou will be responsible for managing board-related documentation, coordinating meetings, and handling administrative tasks to support the legal and governance functions.
  • Liaise with external law firms for monthly legal reports
  • Oversee subscriptions, ensuring timely payment and renewal
  • Assist in document execution processes and maintain the executed document register
  • Develop Board and Committee agendas, compile governance papers, and liaise with stakeholders to ensure timely submission
  • Review board documents for spelling, grammar, and formatting before submission.
  • Ensure timely distribution of Board and Committee papers to the Company Secretary, CEO, and Directors, using Diligent Boards
  • Draft minutes for meetings for review by the Company Secretary
  • Schedule Board and Committee meetings, send calendar invitations, and coordinate director availability
  • Support the smooth running of Board and Committee meetings, including catering, IT support, and meeting logistics
  • Understand regulatory reporting requirements and manage ASIC filings within statutory deadlines, including filings for joint venture incorporated entities.
  • Conduct reviews of Board and Committee Charters, governance policies, and develop Forward Planners for upcoming meetings.
Key Requirements
  • Minimum 7 years of experience as a Legal Secretary or Executive Assistant, ideally supporting a Company Secretary, General Counsel
  • Proficiency in Microsoft Office Suite at an intermediate level (advanced skills in Microsoft Word preferred).
  • Experience with Diligent a bonus 
  • Strong organisational skills with the ability to manage competing priorities
  • Exceptional verbal and written communication skills, including impeccable spelling, grammar, and attention to detail
  • Ability to work independently and prioritise tasks effectively
  • High level of confidentiality and discretion
  • Proven ability to complete tasks on time and in full
  • Strong influencing and networking skills across the organisation
  • Strong interpersonal skills with the ability to develop and maintain effective relationships with stakeholders
